Please read these terms carefully before using our website or services.

These Terms & Conditions ("Terms") govern your access to and use of the Prime Fixel website located at primefixel.com ("Website") and any services provided by Prime Fixel("Services"). By accessing the Website or engaging our Services you agree to be bound by these Terms. If you do not agree, please do not use the Website.

1. Definitions

  • "Company", "we", "us" means Prime Fixel, Shiv Parvati Residential Road, Narhe, Pune, Maharashtra 411041, India.
  • "User", "you" means any individual or entity that accesses the Website or engages our Services.
  • "Content" means all text, images, graphics, code, videos, logos and other material on the Website.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Website or engage our Services.

3. Use of the Website

You agree not to:

  • Use the Website for any unlawful, fraudulent or harmful purpose.
  • Attempt to gain unauthorised access, probe, scan or interfere with our infrastructure.
  • Upload malware, viruses or malicious code.
  • Scrape, copy or republish Content without prior written consent.
  • Impersonate any person or misrepresent your affiliation.

4. Intellectual property

All Content, trademarks, service marks, logos, code and design elements on the Website are the exclusive property of Prime Fixel or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and applicable international treaties. Third-party trademarks (including AWS, Microsoft, Google Cloud, Fortinet, VMware and others) are the property of their respective owners and are used for descriptive purposes only. No licence is granted except as expressly stated in writing.

5. Service engagements

Paid Services are governed by a separately executed agreement, statement of work (SOW) and service level agreement (SLA). In the event of any conflict, the signed engagement document prevails over these Terms with respect to the Services delivered under it.

6. Fees and payment

Fees for Services are as set out in the applicable SOW or proposal. Unless stated otherwise, invoices are payable within 15 days of issue. GST and other applicable taxes are additional. Late payment attracts interest at 1.5% per month.

7. Cancellation and refunds

Cancellations and refunds for paid Services are governed by our Refund & Cancellation Policy.

8. Confidentiality

Each party will treat as confidential any non-public information disclosed by the other party in connection with an engagement and will not use it except to perform its obligations. This clause survives termination.

9. Disclaimers

The Website and its Content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Website will be uninterrupted, secure or error-free.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Prime Fixel, its directors, employees or agents be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Website or Services. Our aggregate liability arising out of an engagement shall not exceed the fees paid to us for the specific Service giving rise to the claim in the twelve (12) months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless Prime Fixel and its affiliates from any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right.

12. Third-party links

The Website may contain links to third-party websites, integrations and services. We do not endorse and are not responsible for their content, availability, security or privacy practices.

13. Termination

We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms. Sections that by their nature should survive (intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law) shall survive termination.

14. Force majeure

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control including acts of God, war, terrorism, riots, epidemics, government action, power or telecommunications failure.

15. Changes to these Terms

We may revise these Terms at any time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Website after changes constitutes acceptance.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at Pune, Maharashtra.
